accessify.live – A solution by iRewind AG (Switzerland)
1. Scope and Subject Matter
1.1 These General Terms and Conditions ("Terms") govern the use of the accessify.live platform ("Platform") operated by iRewind AG, Wallisellen ("iRewind" or "Provider"). The Platform enables event organizers and their audiences to experience live events accessibly through real-time audio content, speech-to-text, translations, sign language streaming, and audio description.
1.2 Use of the Platform requires acceptance of these Terms. Deviating or supplementary conditions of the Customer shall only apply with the express written consent of the Provider.
1.3 The Customer within the meaning of these Terms is the event organizer or organization that acquires a 24-hour pass ("Customer"). End users are individuals who access event content through the Platform ("End Users").
2. Service Description
2.1 The Platform provides the Customer with a browser-based solution that may include the following features:
- Live audio streaming of commentary and moderation to end users on-site;
- Live audio translations in real time;
- AI-powered real-time speech-to-text transcription and translations;
- Where available: Integration of sign language interpretation streaming;
- Where available: Integration of audio description for visually impaired individuals.
2.2 The exact scope of features depends on the acquired 24-hour pass and the respective product configuration. Not all features are included in every pass.
2.3 The Platform is provided "as is." The Provider strives to operate the Platform reliably and efficiently but does not guarantee uninterrupted availability.
3. 24-Hour Passes and Pricing
3.1 Access to the Platform is through 24-hour passes. A pass entitles the Customer to use the Platform for a continuous period of 24 hours from activation.
3.2 Activation of a pass occurs at the time chosen by the Customer. An activated pass cannot be paused or extended. Tests and setup can be performed before activation without the pass being considered activated.
3.3 Current prices are based on the price list on the Provider's website or on an individual offer. All prices are in the stated currency and exclude VAT unless otherwise indicated.
3.4 The Provider reserves the right to adjust prices at any time. Prices valid at the time of purchase apply to already acquired passes.
4. Contract Conclusion and Payment
4.1 The contract is concluded with the acquisition of a 24-hour pass by the Customer.
4.2 Payment is due in advance at the time of purchase. The Provider accepts the payment methods indicated on the website.
4.3 For invoicing to business customers, the payment term is 15 days from the invoice date.
4.4 In the event of late payment, the Provider is entitled to suspend access to the Platform until the outstanding amount is settled.
5. Usage Rights and Obligations
5.1 With the acquisition of a 24-hour pass, the Customer receives a non-exclusive, non-transferable right to use the Platform for the agreed event during the term of the pass.
5.2 The Customer is responsible for the proper use of the Platform and ensures that their end users comply with these Terms.
5.3 The Customer is specifically prohibited from:

- using the Platform for unlawful purposes;
- distributing content through the Platform that violates applicable law;
- decompiling, reverse engineering, or copying the Platform or parts thereof;
- making the Platform available to third parties for independent use or sublicensing.
6. Intellectual Property
6.1 All rights to the Platform, including software, design, trademarks, and documentation, remain with the Provider or its licensors.
6.2 The Provider is entitled to use the Customer and the conducted event as a reference, unless the Customer objects in writing.
7. Warranty and Liability
7.1 The Provider performs its services with industry-standard diligence. The quality of AI-powered features (speech-to-text, translations) depends on various factors (e.g., audio quality, language) and may vary. The Provider does not guarantee error-free results of AI features.
7.2 The Provider is not liable for disruptions or interruptions attributable to force majeure, network outages, actions of third parties, or circumstances beyond its control.
7.3 The Provider's liability for indirect damages, consequential damages, and lost profits is excluded to the extent permitted by law. The Provider's total liability is limited to the amount paid by the Customer to the Provider in the twelve months preceding the damaging event.
7.4 The Customer warrants that they hold all necessary rights to the content distributed through the Platform and indemnifies the Provider against all third-party claims in this regard.
8. Processing of Personal Data
8.1 The processing of personal data in connection with the use of the Platform is governed by the Provider's separate privacy policy.
8.2 If the Customer has personal data of end users processed through the Platform, the parties shall conclude a separate data processing agreement if necessary.
9. Term and Termination
9.1 Individual 24-hour passes expire automatically after the 24-hour period. No termination is required.
9.2 Framework agreements or ongoing business relationships may be terminated by either party with 30 days' notice to the end of the month in writing.
9.3 The Provider is entitled to suspend the Customer's access to the Platform with immediate effect if the Customer materially breaches these Terms.
10. Changes to the Terms
10.1 The Provider reserves the right to amend these Terms at any time. Changes will be communicated to the Customer in an appropriate manner. Continued use of the Platform after notification of the change constitutes acceptance.
11. Final Provisions
11.1 Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid regulation that comes as close as possible to the economic purpose of the original provision.
11.2 Amendments and additions to these Terms require written form (email is sufficient).
11.3 Swiss substantive law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.4 The exclusive place of jurisdiction is Zurich, Switzerland. The Provider is also entitled to assert claims at the Customer's domicile.
